1 Acceptance of Terms

These terms govern your general use of our website and preliminary interactions. No professional services are rendered until a formal service agreement is executed.
3 Intellectual Property

To the maximum extent permitted by applicable law, Miao Season and its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of our website or services. Our total liability for any claim arising from these terms or our services shall not exceed the total fees paid by you to us in the twelve months preceding the event giving rise to the claim. 9 Payment Terms
Fees for services will be as set forth in the applicable service agreement. Unless otherwise agreed in writing, invoices are due within 30 days of the invoice date. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. All fees are exclusive of applicable taxes, which will be added to invoices as required by law. Miao Season reserves the right to suspend services for accounts that are more than 30 days past due. Any disputed amounts must be notified in writing within 10 business days of the invoice date.
10 Termination
Either party may terminate a service agreement in accordance with the termination provisions set forth in that agreement. In the absence of such provisions, either party may terminate for convenience by providing 30 days written notice. Either party may terminate immediately upon written notice if the other party commits a material breach that remains uncured for 30 days after written notice. Upon termination, each party must return or destroy the other party's confidential information as directed. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.

12 Governing Law & Dispute Resolution
These terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of laws principles. Any dispute, controversy, or claim arising from or relating to these terms or the services shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in Handan, Hebei Province, in accordance with the rules of the China International Economic and Trade Arbitration Commission. Each party bears its own legal costs unless otherwise determined by the arbitrator.
13 Amendments
Miao Season reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting the updated terms on our website, with the revised date noted at the top of this page. Your continued use of our website or services after any modifications indicates your acceptance of the updated terms. We encourage you to review these terms periodically. If you do not agree to the modified terms, you should discontinue your use of our website and services. Material changes will be communicated via a notice on our website or by email where appropriate.
